AI SEO Agent for Shopify to Grow Your Business

These Terms of Service ("Terms") govern your use of Seokai ("we", "us", "our"), an AI-powered SEO optimization application for Shopify stores. By installing or using Seokai, you agree to these Terms.

1. Service Description

Seokai is a Shopify application that provides AI-powered SEO tools including:

SEO analysis and scoring for products, collections, pages, and articles.
AI-generated meta titles, descriptions, keywords, tags, and image alt text.
Automated SEO metadata generation for new store content.
LLMs.txt file generation for AI search platform discoverability.
SEO metadata backup and restore.
Multi-language SEO translation.
Weekly SEO performance reports.

2. Eligibility

Seokai is available to Shopify merchants with an active Shopify store. You must be at least 18 years old (or the age of majority in your jurisdiction) and authorized to act on behalf of the store you install the app on.

3. Account and Access

Access to Seokai is authenticated through Shopify's OAuth system. You are responsible for maintaining the security of your Shopify account. We are not liable for unauthorized access resulting from compromised Shopify credentials.

4. Plans, Credits, and Billing

Seokai offers subscription plans and one-time credit packs. All billing is handled through Shopify's billing system. We do not collect or store payment card details.
Each plan includes a monthly credit allocation. AI operations consume credits at published rates.
Unused monthly credits do not roll over. Credits from one-time purchases do not expire while your app is installed.
Plan pricing, credit allocations, and feature availability may change. Changes apply at the start of your next billing cycle, not retroactively.

Refunds are governed by our Refund Policy.

5. Acceptable Use

You agree not to:

Use Seokai for any unlawful purpose or in violation of Shopify's Terms of Service.
Attempt to reverse-engineer, decompile, or extract the source code of Seokai.
Circumvent rate limits, credit limits, or other technical restrictions.
Use automated scripts or bots to interact with Seokai outside its intended interface.
Submit content to the AI generation features that is illegal, harmful, or infringes third-party rights.

We reserve the right to suspend or terminate access for violations of these terms.

6. AI-Generated Content

Seokai uses third-party AI services to generate SEO content. AI-generated output is provided as suggestions and may require your review before use.
No guarantee of SEO results. Search engine rankings depend on many factors outside our control. We do not guarantee specific ranking improvements, traffic increases, or business outcomes.
You are responsible for reviewing AI-generated content before it is published to your store. While Seokai writes metadata directly to your Shopify store when requested, you retain full control and can edit or revert any changes.
AI-generated content may occasionally be inaccurate, incomplete, or unsuitable. You should verify factual claims before publishing.

7. Your Content and Data

You retain all ownership of your store content and data.
By using Seokai, you grant us a limited license to access, process, and store your store data as necessary to provide the service.
You are responsible for ensuring you have the right to use any content you submit for AI processing.

8. Intellectual Property

Seokai's application, design, code, and branding are our intellectual property. These Terms do not grant you any rights to our trademarks, logos, or proprietary technology beyond what is necessary to use the service.

9. Service Availability

We aim to provide reliable service but do not guarantee uninterrupted availability. Seokai depends on third-party services that may experience downtime.
We may perform maintenance that temporarily affects availability. Where possible, we will provide advance notice.
We are not liable for losses caused by service interruptions, third-party outages, or Shopify platform changes.

10. Limitation of Liability

To the maximum extent permitted by law:

Seokai is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
We are not liable for indirect, incidental, consequential, or punitive damages arising from your use of Seokai.
Our total liability for any claim is limited to the amount you paid for Seokai in the 12 months preceding the claim.

Nothing in these Terms excludes liability for fraud, gross negligence, or anything that cannot be excluded by law.

11. Termination

You may stop using Seokai at any time by uninstalling it from your Shopify store.
We may suspend or terminate your access if you violate these Terms, abuse the service, or if required by law.
Upon uninstallation, your data is handled as described in our Privacy Policy (session data deleted immediately, remaining data purged within 48 hours).

12. Changes to These Terms

We may update these Terms. Material changes will be communicated via email or in-app notice before taking effect. Continued use after changes constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the jurisdiction in which we operate. Disputes will be resolved through good-faith negotiation first. If unresolved, disputes will be submitted to the competent courts of that jurisdiction. Nothing in these Terms affects your statutory consumer protection rights.
