Terms of Service

The terms and conditions that govern your use of Seokai's application and services.

Effective Date: 11th July, 2026

These Terms of Service ("Terms") govern your use of Seokai ("we", "us", "our"), an AI-powered SEO optimization application for Shopify stores, operated by Meta Mine, a limited liability company established in Bulgaria (European Union) and registered at Burgas 8018, Bulgaria. By installing or using Seokai, you agree to these Terms. If you do not agree, do not install or use Seokai.

1. Service Description

Seokai is a Shopify application that provides AI-powered SEO tools including:

  • SEO analysis and scoring for products, collections, pages, and articles.
  • AI-generated meta titles, descriptions, keywords, tags, and image alt text.
  • Automated SEO metadata generation for new store content.
  • LLMs.txt file generation for AI search platform discoverability.
  • SEO metadata backup and restore.
  • Multi-language SEO translation.
  • Weekly SEO performance reports.

2. Eligibility

Seokai is available to Shopify merchants with an active Shopify store. You must be at least 18 years old (or the age of majority in your jurisdiction) and authorized to act on behalf of the store you install the app on.

3. Account and Access

Access to Seokai is authenticated through Shopify's OAuth system. You are responsible for maintaining the security of your Shopify account. We are not liable for unauthorized access resulting from compromised Shopify credentials.

4. Plans, Credits, and Billing

  • Seokai offers subscription plans and one-time credit packs. All billing is handled through Shopify's billing system. We do not collect or store payment card details.
  • Each plan includes a monthly credit allocation. AI operations consume credits at published rates.
  • Unused monthly credits do not roll over. Credits from one-time purchases do not expire while your app is installed.
  • Plan pricing, credit allocations, and feature availability may change. Changes apply at the start of your next billing cycle, not retroactively.

Refunds are governed by our Refund Policy.

5. Acceptable Use

You agree not to, and not to allow any third party to:

  • Use Seokai for any unlawful purpose or in violation of Shopify's Terms of Service, Shopify's Acceptable Use Policy, or the guidelines and webmaster policies of any search engine.
  • Use Seokai to generate or publish spam, deceptive, misleading, or manipulative SEO content, including cloaking, hidden text, keyword stuffing, doorway pages, or other "black-hat" SEO techniques that violate search-engine or platform policies.
  • Generate, submit, or publish content that is illegal, harmful, defamatory, obscene, hateful, discriminatory, infringing of intellectual-property or privacy rights, or otherwise prohibited by the usage policies of our AI providers.
  • Use the AI features to produce content that impersonates others, spreads disinformation, or is intended to deceive consumers.
  • Attempt to reverse-engineer, decompile, disassemble, or extract the source code, models, or underlying technology of Seokai.
  • Circumvent, disable, or interfere with rate limits, credit limits, billing controls, or other technical or security restrictions.
  • Use automated scripts, bots, or scraping to interact with Seokai outside its intended interface, or to extract data from the service.
  • Resell, sublicense, rent, or otherwise make Seokai available to third parties as a standalone service, or use it to build a competing product.
  • Introduce malware, or use Seokai in a way that could damage, disable, or impair the service or the infrastructure of Shopify, our AI providers, or other sub-processors.

You are responsible for the content you generate and publish to your store using Seokai. We reserve the right to investigate suspected violations and to suspend or terminate access, remove content, or report unlawful activity where required.

6. AI-Generated Content

  • Seokai uses third-party AI services (currently OpenAI, accessed via its API) to generate SEO content. AI-generated output is provided "as is" and as suggestions, without warranty of accuracy, completeness, originality, or fitness for any purpose.
  • No guarantee of uniqueness or non-infringement. AI models may produce output that is similar or identical to output generated for other users. We do not warrant that AI-generated content is unique or that it does not infringe third-party rights. You are responsible for ensuring the content you publish is appropriate and lawful.
  • No guarantee of SEO results. Search engine rankings depend on many factors outside our control. We do not guarantee specific ranking improvements, traffic increases, or business outcomes.
  • Human review is your responsibility. You are responsible for reviewing and approving AI-generated content before it is published to your store. While Seokai writes metadata directly to your Shopify store when requested, you retain full control and can edit or revert any changes.
  • AI-generated content may occasionally be inaccurate, incomplete, or unsuitable. You should verify factual claims before publishing.
  • Your use of AI features is subject to the applicable AI provider's terms and usage policies. Ownership of AI output is allocated to you subject to those terms; the AI provider does not use data submitted through its API to train its models.

7. Your Content and Data

  • You retain all ownership of your store content and data.
  • By using Seokai, you grant us a limited license to access, process, and store your store data as necessary to provide the service.
  • You are responsible for ensuring you have the right to use any content you submit for AI processing.

How we handle your data is described in our Privacy Policy. Where we process personal data on your behalf as your processor, our Data Processing Agreement (GDPR Article 28) forms part of these Terms.

8. Intellectual Property

Seokai's application, design, code, and branding are our intellectual property. These Terms do not grant you any rights to our trademarks, logos, or proprietary technology beyond what is necessary to use the service.

9. Service Availability

  • We aim to provide reliable service but do not guarantee uninterrupted availability. Seokai depends on third-party services that may experience downtime.
  • We may perform maintenance that temporarily affects availability. Where possible, we will provide advance notice.
  • We are not liable for losses caused by service interruptions, third-party outages, or Shopify platform changes.

10. Limitation of Liability

To the maximum extent permitted by law:

  • Seokai is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
  • We are not liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, revenue, goodwill, data, or search-engine rankings, arising from or related to your use of (or inability to use) Seokai, even if advised of the possibility of such damages.
  • Our total aggregate liability for any and all claims arising out of or relating to Seokai or these Terms is limited to the total fees you paid for Seokai in the 12 months preceding the event giving rise to the claim.
  • Any claim relating to Seokai or these Terms must be brought within twelve (12) months of the event giving rise to it, after which it is permanently barred, unless a longer period is mandatory under applicable law.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Meta Mine and its owners, officers, and personnel from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of Seokai; (b) content you submit to, generate with, or publish using Seokai, including its accuracy, legality, and compliance with search-engine and Shopify policies; (c) your violation of these Terms or the Acceptable Use section; or (d) your violation of any law or third-party right.

12. Termination

  • You may stop using Seokai at any time by uninstalling it from your Shopify store.
  • We may suspend or terminate your access if you violate these Terms, abuse the service, or if required by law.
  • Upon uninstallation, your data is handled as described in our Privacy Policy. Session data, access tokens, and store content are deleted, while certain records (such as billing, usage, and support history) are retained as set out in that policy for accounting, legal, and analytics purposes.

13. Changes to These Terms

We may update these Terms. Material changes will be communicated via email or in-app notice before taking effect. Continued use after changes constitutes acceptance.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Bulgaria and applicable European Union law, without regard to conflict-of-laws rules. The parties will first attempt to resolve any dispute through good-faith negotiation. If a dispute cannot be resolved, it will be submitted to the exclusive jurisdiction of the competent courts of Bulgaria. Nothing in these Terms affects any mandatory statutory consumer-protection rights that cannot be waived under the law of your country of residence.
